These Terms of Service ("Terms") govern your use of the Biznmotion LLC website at biznmotionllc.com, our reputation management platform, and any services provided by Biznmotion LLC ("we," "our," or "us"), including SMS messaging, email communications, and review management services. By accessing our website or using our services, you agree to these Terms.

1. Services

Biznmotion LLC provides done-for-you reputation management, marketing automation, AI-powered systems, and full-stack development services. Our core services include:

• Reputation Management: Automated SMS and email review requests, review gating, AI-powered review response drafting, and Google Business Profile monitoring and management.
• Marketing Automation: Email sequences, SMS campaigns, and multi-channel marketing communications.
• AI-Powered Systems: Content generation, review response drafting, and custom AI workflow automation.
• Full-Stack Development: Custom web applications, dashboards, and API integrations.

The specific scope, deliverables, and pricing for any engagement will be outlined in a separate service agreement or statement of work between you and Biznmotion LLC.

2. SMS and Text Messaging Terms

By using our reputation management services, business clients agree to the following SMS terms:

• Consent requirement: Clients must obtain prior express written consent from their customers before we send any SMS messages on their behalf. Clients are responsible for maintaining records of consent.
• TCPA compliance: All SMS messaging conducted through our platform complies with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable federal and state regulations.
• Message content: SMS messages sent through our platform are limited to review requests, service follow-ups, and related customer communications. We do not send unsolicited marketing messages.
• Opt-out: All SMS messages include opt-out instructions. Recipients may reply STOP at any time to cease receiving messages. Opt-out requests are processed immediately.
• Help: Recipients may reply HELP to receive assistance information including contact details for support.
• Message frequency: Customers typically receive 1–3 messages per service interaction.
• Message and data rates: Standard message and data rates may apply to recipients depending on their mobile carrier and plan.
• Carrier: SMS messages are transmitted via Twilio. Twilio acts as a sub-processor for message delivery.
• Prohibited content: Clients may not use our SMS services to send messages containing illegal content, spam, phishing attempts, or content that violates carrier guidelines or the CTIA Messaging Principles.

3. Google Business Profile Services

Our reputation management services integrate with Google Business Profile via the Google Business Profile API. By authorizing access to your Google Business Profile:

• You grant Biznmotion LLC permission to read reviews, post review responses (with your approval), and access business listing information on your behalf.
• You acknowledge that review responses posted through our platform are published to your Google Business Profile and are publicly visible.
• You may revoke access at any time through your Google Account settings.
• We will not modify your business listing information (name, address, hours, etc.) without your explicit written consent.
• Our use of Google data complies with the Google API Services User Data Policy, including the Limited Use requirements.

4. Use of Website

You agree to use our website only for lawful purposes. You may not:

• Use the site in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the site or its systems
• Use automated tools to scrape, crawl, or extract data from the site without permission
• Transmit any malicious code, viruses, or harmful content

5. Client Dashboard

Business clients receive access to a read-only dashboard to monitor their reputation management metrics, approve review responses, and view campaign performance. Dashboard access is provided for the duration of the service agreement and is non-transferable.

6. Intellectual Property

All content on this website, including text, graphics, logos, design elements, and code, is the property of Biznmotion LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

7. Client Work & Deliverables

Ownership and licensing of work produced for clients will be defined in the applicable service agreement. Unless otherwise specified in a written agreement:

• Biznmotion LLC retains ownership of proprietary tools, frameworks, platforms, and methodologies
• Clients receive a license to use deliverables as specified in their service agreement
• Review response templates and AI-generated content created for clients may be used as reference for improving our services
• Biznmotion LLC may reference completed work in its portfolio unless confidentiality is agreed upon

8. Payment Terms

Payment terms for services will be specified in the applicable service agreement. Our reputation management services are billed monthly. Unless otherwise agreed:

• Monthly fees are due on the billing date specified in the service agreement
• Late payments may result in suspension of services after a 7-day grace period
• Phone numbers provisioned for clients remain the property of Biznmotion LLC and may be released upon termination of services

9. Limitation of Liability

To the maximum extent permitted by law, Biznmotion LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. This includes, but is not limited to, damages arising from carrier filtering of SMS messages, delays in message delivery, changes to Google Business Profile API availability, or AI-generated content. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the preceding 12 months.

10. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:

• SMS messages will be delivered to all recipients (carrier filtering may apply)
• Google Business Profile API access will be available without interruption
• AI-generated review responses will be error-free or suitable without client review
• Our services will result in a specific number of reviews or rating improvement

11. Indemnification

You agree to indemnify and hold harmless Biznmotion LLC, its members, employees, and agents from any claims, damages, losses, or expenses arising from: your violation of these Terms, misuse of our services, failure to obtain proper consent from end customers before SMS messaging, or any content you direct us to publish on your behalf.

12. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• Access to the client dashboard will be revoked
• Phone numbers provisioned for the client may be released
• Client data will be deleted within 90 days unless retention is required by law
• Any outstanding balances remain due and payable

We reserve the right to terminate services immediately for violation of these Terms, non-payment, or misuse of our SMS messaging services.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Hillsborough County, Florida.

14. Changes to These Terms

We may modify these Terms at any time. Changes will be effective upon posting to this page. Active clients will be notified of material changes via email. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
